These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "User," or "you") and CoinWerx ("CoinWerx," "we," "our," or "us") governing your access to and use of the CoinWerx cryptocurrency payment gateway platform, including all related websites, APIs, software, and services (collectively, the "Platform").
By registering for an account, clicking "I Agree," or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

CoinWerx reserves the right to refuse registration, cancel accounts, or remove content at its sole discretion. You may not create more than one account without prior written consent from CoinWerx.
CoinWerx provides a cryptocurrency payment gateway that enables merchants to accept cryptocurrency payments from their customers. The Platform includes:
CoinWerx does not provide financial advice, investment advice, or brokerage services. The Platform is a technical payment processing tool only. CoinWerx does not hold custody of merchant funds beyond the time required for transaction processing and settlement.
CoinWerx charges fees for use of the Platform as described in your merchant agreement or as displayed in the Platform dashboard. Fees may include:
All fees are deducted automatically from processed transactions. CoinWerx reserves the right to modify its fee structure with reasonable notice. Continued use of the Platform after a fee change constitutes acceptance of the new fees.
You acknowledge and agree that cryptocurrency transactions carry unique risks and characteristics:
CoinWerx supports multiple blockchain networks. It is your responsibility to ensure that payment instructions presented to your customers specify the correct network. CoinWerx is not liable for funds lost due to cross-chain errors.
You agree not to use the Platform for any of the following purposes:
Violation of these prohibitions may result in immediate account termination and may be reported to relevant law enforcement authorities.
The Platform, including all software, designs, trademarks, logos, and content, is the exclusive property of CoinWerx and its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Platform beyond the limited license to use it as described herein.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your legitimate business purposes in accordance with these Terms. This license does not include the right to sublicense, sell, resell, transfer, or otherwise commercially exploit the Platform.
You agree to keep your account credentials, API keys, and any non-public information about the Platform strictly confidential. You must not share your password, API keys, or signing keys with any unauthorized party.
CoinWerx staff will never ask for your password or private keys. If you receive any such request, treat it as a security threat and report it immediately to support@coinwerx.com.
If you suspect unauthorized access to your account, you must notify CoinWerx immediately and take steps to secure your account, including changing your password and rotating any API keys.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CoinWerx does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. CoinWerx does not warrant the accuracy, completeness, or reliability of any information provided through the Platform.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COINWERX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR LOSS OF CRYPTOCURRENCY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.
IN NO EVENT SHALL COINWERX'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO COINWERX IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).
You agree to defend, indemnify, and hold harmless CoinWerx and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Either party may terminate the merchant relationship at any time. CoinWerx may suspend or terminate your account immediately and without notice if:
Upon termination, your right to access the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitations of liability.
CoinWerx reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform. Changes become effective upon posting unless otherwise stated.
Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform.
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
